Netflix prépare une offre en cash pour Warner Bros. face à Paramount

Netflix pourrait revoir son offre pour acquérir Warner Bros. Discovery en proposant désormais un paiement entièrement en espèces. Ce revirement intervient alors que Paramount Skydance intensifie sa campagne pour convaincre les actionnaires que sa propre offre en cash est plus avantageuse. La bataille pour le géant des studios et du streaming s’annonce stratégique et particulièrement serrée.

Un rachat stratégique en pleine révision

Netflix revoit sa copie

Selon le Wall Street Journal, Netflix préparerait une version révisée de son offre pour Warner Bros. Discovery, cette fois entièrement en espèces. Initialement, l’accord prévoyait un paiement mixte : chaque actionnaire de WBD devait recevoir 23,25 dollars en cash et 4,50 dollars en actions Netflix pour chaque action détenue. La transaction originale était estimée à 82,7 milliards de dollars au total.

Un changement pour séduire les actionnaires

Cette modification pourrait permettre à Netflix de renforcer son attractivité auprès des actionnaires de Warner Bros. Discovery, notamment face à la baisse récente du cours de son action. Depuis l’annonce de l’accord le 5 décembre, les actions Netflix ont chuté de plus de 12 %, passant sous le seuil de 97,91 dollars fixé dans l’accord initial. À ce jour, l’action Netflix s’échange à environ 90,32 dollars, ce qui affecte directement la valeur globale de la transaction pour les actionnaires de WBD.

Paramount Skydance contre-attaque

Une offre hostile en cash

Paramount Skydance, dirigé par David Ellison, a intensifié ses efforts pour convaincre les actionnaires de Warner Bros. Discovery que son offre de 30 dollars par action, entièrement en espèces, est plus favorable que celle de Netflix. La société a déposé un recours judiciaire pour contraindre WBD à révéler certains détails financiers du deal Netflix, notamment la valorisation de la future scission des chaînes câblées Discovery Global.

Une bataille pour le contrôle

Paramount Skydance a également annoncé son intention de mener une « proxy fight », c’est-à-dire de présenter ses propres candidats au conseil d’administration de Warner Bros. Discovery. L’objectif : obtenir l’approbation des actionnaires pour son offre et ainsi supplanter l’accord initial de Netflix. Pour soutenir son projet, Paramount bénéficie du soutien de Larry Ellison, cofondateur d’Oracle, et d’autres partenaires tels que RedBird Capital Partners ainsi que les fonds souverains d’Arabie Saoudite, du Qatar et d’Abu Dhabi.

La valorisation mise en question

Paramount Skydance soutient que, compte tenu de la baisse du cours de l’action Netflix, la valeur réelle de l’accord pour les actionnaires de WBD serait de 27,42 dollars par action. De plus, l’analyse de Paramount estime que les actions de Discovery Global pourraient ne valoir rien, en comparant cette scission avec celle récente de Versant par Comcast. Ces éléments renforcent la pression sur Netflix pour ajuster son offre.

Une transaction majeure pour le streaming et le cinéma

Dans le cadre de l’accord initial, Netflix devait acquérir les studios Warner Bros., HBO et HBO Max, ainsi que la division jeux vidéo de WBD. L’opération incluait également 59 milliards de dollars de financement par dette auprès de banques comme Wells Fargo, BNP et HSBC. La modification de l’offre vers un paiement totalement en cash pourrait simplifier l’opération et rassurer les actionnaires sur la valeur concrète qu’ils recevraient.

Jon Stewart has been a leading figure in political comedy since before the turn of the millennium. But compared to his early years on Comedy Central’s “The Daily Show”—when Stewart was merciless in his attacks on George W. Bush’s Administration—these are much more challenging times for late-night comedians.

Jimmy Kimmel nearly lost his job over a remark about MAGA supporters of Charlie Kirk, after the head of the F.C.C. threatened ABC. CBS recently announced the cancellation of Stephen Colbert’s program. And Stewart now finds himself very near the hot seat: Comedy Central is controlled by David Ellison, the Trump-friendly C.E.O. of the recently merged Paramount Skydance.

Stewart’s contract comes up in December. “You’re going to sign another one?” David Remnick asked him, in a live interview at The New Yorker Festival. “We’re working on staying,” Stewart said. “You don’t compromise on what you do. You do it till they tell you to leave. That’s all you can do.”  Stewart, moreover, doesn’t blame solely Donald Trump for recent attacks on the independence of the media, universities, and other institutions.

“This is the hardest truth for us to get at, is that [these] institutions . . . have problems. They do. And, if we don’t address those problems in a forthright way, then those institutions become vulnerable to this kind of assault. Credibility is not something that was just taken. It was also lost.”

In fact, Stewart also directs his ire at “the Democratic Party, [which] thinks it’s O.K. for their Senate to be an assisted-living facility.” “In the general-populace mind, government no longer serves the interests of the people it purports to represent. That’s a broad-based, deep feeling. And that helps when someone comes along and goes, ‘The system is rigged,’ and people go, ‘Yeah, it is rigged.’ Now, he’s a good diagnostician. I don’t particularly care for his remedy.”

Lodging to Affordable Living 🏡: Motel Conversions in the Four Corners Region

The following working list identifies those motels and hotels that have been converted into dwellings for the unhoused, those with special needs, and/or to provide affordable housing options in cities across the Four Corners Region of the southwestern United States (the states of Arizona, Colorado, New Mexico, and Utah). These housing options may include, but not be limited to:

  • Income-based housing;
  • Section 8 housing;
  • Housing for those with special needs
  • Housing for needy seniors;
  • Housing for young adults and/or women;
  • Housing for those returning to society from recovery programs or incarceration;
  • Inexpensive housing/studios for artists;
  • Veterans housing; as well as
  • Transitional/interim housing for unhoused individuals or families.

Motel conversions provide another tool for municipalities for combating homelessness, gentrification, and rising housing costs. It also helps revitalize and reinvigorate older highway commercial districts such as Historic U.S. 66 in New Mexico and Arizona or Old U.S. 40 in Colorado. In some cases, such a conversion from lodging to affordable living quarters may require amendments to local zoning codes to allow such housing options in commercial zoning districts.

Man, was I wrong about #Elektron #Tonverk. Despite the same #design cues it has nothing to do with Digitone. It's an upgrade for Digitakt mk2 for those who need that #multisample workflow. A curveball I wasn't expecting! However, I do understand the thinking behind that design. This is essentially a central device for the #synth #studios to bring their sound into the stage without the need for hauling the entire synth collection with you.
